What happens to newly created Opportunities upon Lead conversion when TM is enabled?

Resolution

When a Lead is converted, a new Account is created (if the information is not appended to an existing Account), a new Contact is created (if the information is not appended to an existing Contact), and a new Opportunity is created (unless this option is disabled at the Lead conversion screen).

With Territory Management enabled, Account Territory Assignment Rules will fire, which may assign the new Account to a Territory (or possibly multiple Territories).

If the Account (new or existing) has multiple Territories, the new Opportunity will not be assigned to a Territory.

If the Account (new or existing) has only one Territory, the new Opportunity will be assigned to that Territory.

If that one Territory has a Forecast Manager assigned, the ownership of the new Opportunity will be changed to the Forecast Manager of that Territory (regardless of which user is designated as the owner of the new records in the Lead Conversion screen).
